By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Description of Services

Roozna is an online business directory that allows users to submit their businesses, products, tools, and services for listing and exposure. We provide both free and paid listing options with varying features and visibility.

2. Account Registration

To use certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3. Listing Submissions

When submitting a listing to Roozna, you represent and warrant that:

• You have the right to submit the business, product, or service for listing
• All information provided is accurate, truthful, and not misleading
• The listing does not infringe upon any third-party intellectual property rights
• The listing does not contain unlawful, harmful, or objectionable content
• You own or have the right to use any logos, images, or content submitted

We reserve the right to reject, remove, or edit any listing at our sole discretion without prior notice or refund.

4. Paid Listings and Payment Terms

Roozna offers paid listing options including Premium Listings and SEO Growth Packages. By purchasing a paid listing, you agree to the following:

• All fees are stated in Canadian Dollars (CAD) or US Dollars (USD) as indicated
• Payment is processed securely through Stripe, a third-party payment processor
• You authorize us to charge your selected payment method for the total amount
• Paid listings are activated upon successful payment confirmation

5. No Refund Policy

ALL PURCHASES ARE FINAL. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES.

By completing a purchase on Roozna, you expressly acknowledge and agree that:

• Digital Service Delivery: Our Services are digital in nature and are delivered immediately upon payment. Once a listing is activated or published, the service has been fully rendered.
• No Chargebacks: You agree not to initiate any chargeback, dispute, or reversal of payment with your bank or credit card company for any purchase made on Roozna. Initiating such action constitutes a breach of these Terms.
• Chargeback Consequences: If you initiate a chargeback or payment dispute, we reserve the right to immediately terminate your account, remove all associated listings, pursue collection of the disputed amount plus any fees incurred, and take legal action to recover damages.
• Acknowledgment: You acknowledge that you have read, understood, and agreed to this no-refund policy before completing your purchase. This policy is clearly stated prior to payment and forms part of the contract between you and Emplo Inc.

6. Free Listings with Badge Requirement

Free listings require the display of a Roozna badge on your website. By choosing a free listing, you agree to:

• Install and maintain the Roozna badge on your website in a visible location
• Keep the badge visible and unmodified for the duration of your listing
• Not hide, obscure, or manipulate the badge in any way

We reserve the right to remove or deactivate free listings if the badge is not properly installed or is subsequently removed.

7. Intellectual Property

The Roozna name, logo, and all related marks are trademarks of Emplo Inc. All content, features, and functionality of the Services are owned by Emplo Inc. and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

By submitting content to Roozna, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with the Services.

8. Prohibited Conduct

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the Services or servers
• Collect or harvest user data without authorization
• Use automated means to access the Services without permission
• Circumvent any security features of the Services

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee any specific results, traffic, or SEO improvements from using our Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EMPLO INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Services
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from the Services
• Any bugs, viruses, or similar harmful code transmitted through the Services
• Any content or conduct of any third party on the Services

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Emplo Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

12. Termination

We may terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. No refunds will be provided for any reason, including termination.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of the Province of Quebec, Canada, and you consent to the personal jurisdiction of such courts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Emplo Inc. regarding your use of the Services and supersede all prior agreements and understandings.
